CoverHome Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the CoverHome consumer app, Agent Console, Broker Portal, and coverhome.app (together, the “Services”), operated by ZootPro, Inc. (“ZootPro,” “CoverHome,” “we,” “us”). By creating an account or using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated by reference.

1. Eligibility and Accounts

CoverHome is intended for use only by individuals who are 18 years of age or older. Minors may not create accounts or submit information directly. Any information relating to minors or other household members must be provided only by an authorized adult user.

By inviting another adult to a Household Fit, you represent that the invited person is at least 18 years old and that you have permission to share access to that Household Fit.

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Professional accounts (agent, broker) are subject to additional verification under Section 4.

2. The Services

CoverHome helps households organize their home search and personalize the order of eligible listings using the property and location preferences they confirm, and connects consumers to participating licensed real estate professionals through the Agent Console and Broker Portal. Consumer use of the core search and personalization experience, including proximity and commute tools, where available, is free. Professional use of the Agent Console and Broker Portal is subject to the subscription plan you select, as described in your Order Form.

3. Consumer Terms

  • No representation of completeness. Listing information is sourced from participating brokerages that authorize their data, and from agents and brokers who enter their own listings. CoverHome does not claim to show every listing in any market and does not independently verify every listing detail and does not guarantee accuracy, availability, or timeliness of listing data.
  • Match explanations. Match scores and explanations reflect how a property’s disclosed attributes compare to the property and location preferences you selected and confirmed. They are informational and do not constitute a guarantee of fitness, appraisal, inspection, or professional advice.
  • No fair-housing steering. CoverHome’s personalized ordering uses only the property and location preferences you independently select and confirm. Household composition is not an input to property ranking and is not used to infer or preselect a housing preference. CoverHome does not use, and prohibits any professional user from using the platform to act on, protected-class characteristics.
  • Viewing requests and introductions. Submitting a viewing request or match inquiry may connect you with a licensed agent or broker. CoverHome is a technology platform; the agent or broker you are connected with is an independent business, not a CoverHome employee or agent, and is solely responsible for the professional services they provide.

3A. Household Fits

A “Household Fit” is a saved set of household preferences, saved homes, comparisons and comments.

  • Primary owner. Each Household Fit has one primary owner. The owner can invite and remove adults and manage their permissions.
  • Collaborators. A collaborator can contribute preferences and can save, compare and comment on homes, according to the permission level the owner sets. A view-only member can see the shared Household Fit but cannot change it.
  • Agent-collaborator. A licensed real estate agent whom the household invites can suggest homes, comment, and see the shared dashboard and reports. An agent-collaborator does not see structured household composition or any private notes through CoverHome’s system fields, but comments the household writes and shares can contain information the household chooses to disclose.
  • Separate data. The data in each Household Fit stays tied to that Household Fit and is not merged across unrelated Household Fits.
  • How many. Each account includes one primary Household Fit and one additional complimentary Household Fit. Need more? You can add extra Household Fits as paid add-ons; the current price, billing interval and renewal terms are shown before you buy. Household Fits that are shared with you do not count toward your limit.

4. Professional Terms (Agents and Brokers)

  • License verification. Access to listing-creation and other license-gated features requires active license status, verified jurisdiction, and appropriate brokerage affiliation. CoverHome may suspend or restrict access if license status changes, lapses, or cannot be verified.
  • Listing authority. You represent that you have the authority to list any property you submit, including an executed listing agreement where required, and that you will not submit a listing you are not authorized to publish. Manually added listings are subject to broker approval before becoming visible beyond the listing agent, per our listing-visibility framework.
  • Listing accuracy. You are responsible for the accuracy of listing content you submit or manage, including representing whether information is MLS-verified or independently entered.
  • Acceptable use (professional). You will not: scrape or bulk-export data beyond your authorized use; share account credentials; attempt to access listings, households, or accounts outside your authorized visibility; use household context provided through a match for any purpose other than fulfilling that match; or use the Services to circumvent broker approval, license requirements, or MLS data rules.
  • Brokerage oversight. If you are a broker, you are responsible for managing your affiliated agents’ access, approvals, and compliance within the Broker Portal, consistent with your Broker Portal Services Addendum.
  • Fees. Subscription fees are billed per your Order Form. CoverHome charges participating real estate professionals for defined technology and marketplace services that are delivered through the CoverHome platform. Fees are based on platform services, not brokerage representation, commissions, negotiation services, or referrals to settlement-service providers. CoverHome tracks whether properties discovered through its platform ultimately transact in order to measure platform performance and attribution.
  • Technology Success Fee. Subject to the participating brokerage’s signed agreement with CoverHome, which controls the precise earning and invoicing rules, a Technology Success Fee is earned when a CoverHome Conversion Event occurs — a consumer discovers and saves a property through CoverHome, initiates collaboration with their agent, and that agent/broker accepts the CoverHome property/consumer record — and is set by the flat fee in CoverHome’s published rate card; it is a flat dollar amount and is never calculated as a percentage of commission or any other settlement-side compensation. The same flat fee, and the same attribution and eligibility rules, apply to a verified CoverHome-attributed completed sale or rental of a public listing and of a private (ZootXchange or Confidential) listing. Invoicing is deferred to the earlier of (a) closing, or (b) 120 days after activation of the Conversion Event; closing is a billing trigger, not a condition of whether the fee was earned. The Technology Success Fee is billed to the participating brokerage account, not to the individual agent. If a file does not close, the participating agent or broker may report this to CoverHome so that any pending or upcoming invoice may be manually reversed or cancelled as a commercial courtesy; this is not an automatic or contractual right and CoverHome reviews each request.
  • Platform Conversion Record reporting. Participating brokers and agents must maintain accurate disposition information for CoverHome Platform Conversion Records, including active, touring, offer submitted, under contract, closed, lost, and inactive statuses. Failure to maintain accurate disposition information may result in suspension of analytics access or marketplace features.
  • Buyer-side and listing-side services are independently contracted. A buyer-side brokerage pays CoverHome for buyer/property discovery and collaboration technology; a listing-side brokerage pays CoverHome separately, under its own agreement, for listing marketing and analytics technology. CoverHome does not automatically bill a listing brokerage that has not independently contracted for these services, even where a CoverHome buyer discovers that brokerage's listing.

5. MLS-Sourced Data

Where listings originate from an MLS or other authorized data source, that data is displayed subject to the applicable data-license and display rules, and CoverHome receives MLS data only from brokerages that authorize it. CoverHome is not an IDX aggregator. We do not transmit consumer household data back to the MLS. If you are an MLS or association user, additional terms in your MLS Data License & Display Compliance Addendum govern your relationship with CoverHome and control in the event of conflict with these Terms for MLS-related matters.

6. Fair Housing

CoverHome is committed to fair housing. Household composition is not an input to property ranking. CoverHome’s ranking does not use, and CoverHome prohibits any user from using the Services to act on, race, color, religion, sex, familial status, national origin, disability, or other protected characteristics, or on proxies for those characteristics, in any search, ranking, recommendation, or professional-routing decision. 7. Payments and Billing

Professional accounts. Professional subscription fees are processed through our payment provider (Stripe) and billed per the terms in your Order Form. Fees are non-refundable except as required by law or expressly stated in your Order Form. We may suspend access for non-payment after notice.

Consumer subscriptions and add-ons. Consumer add-ons that are labeled monthly or annual subscriptions renew automatically at the interval shown at checkout until cancelled. Before purchase, we will disclose the price, renewal interval and cancellation method and obtain your affirmative agreement. Prices exclude applicable taxes, which are shown where required. You may cancel using the cancellation method disclosed at purchase, or by emailing hello@coverhome.app; cancellation stops future renewals and access continues through the paid period unless applicable law requires otherwise. If you buy through an app store, the app store’s billing and cancellation terms also apply. We will give advance notice of a price change, and renewal reminders where the law requires them. Fees already charged are non-refundable except where required by law or expressly stated at purchase. Professional subscriptions and Technology Success Fees are governed by the applicable Order Form or brokerage agreement.

7A. Communications

We may send service and account emails as needed to operate your account, such as sign-in, security, billing, Household Fit invitation and request notices. Marketing emails are sent only under the consent shown when we collected it, and every marketing email includes an unsubscribe link. Phone verification texts for professional accounts are transactional. CoverHome does not currently send marketing text messages; if we add them, we will use a separate consent flow and update these Terms and the Privacy Policy before launch.

8. Intellectual Property

The Services, including the matching engine, software, and CoverHome branding, are owned by ZootPro, Inc. and its licensors. Except for the limited license to use the Services as intended, these Terms do not grant you any rights to CoverHome’s intellectual property. You retain ownership of content you submit (such as listing photos you have rights to use), and grant us a license to host, display, and process that content to operate the Services.

9. Third-Party Services and Integrations

The Services may link to or integrate with third-party systems. Each is governed by its own terms, and your use of it is optional and subject to those terms.

CoverHome may, when you ask, refer you to third-party service providers, including household service vendors and listed trusted professionals. Those providers are independent businesses, and their own terms and privacy policies apply once you deal with them. CoverHome does not guarantee their services. See the Referral and Marketplace Services Disclosure in the Supplemental Policies.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, COVERHOME DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. COVERHOME DOES NOT WARRANT THAT LISTING DATA IS ACCURATE, COMPLETE, OR CURRENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. NOTHING ON THE SERVICES CONSTITUTES LEGAL, FINANCIAL, OR REAL-ESTATE PROFESSIONAL ADVICE.

11. Limitation of Liability

CoverHome, operated by ZootPro, Inc., provides technology tools for property search, professional connections, and related workflows. CoverHome is not a real estate brokerage and does not act as your agent, lender, insurer, inspector, contractor, or other professional service provider. Payment of a subscription, listing fee, or Technology Success Fee does not create an agency relationship between CoverHome and a consumer or professional.

To the extent permitted by applicable law, CoverHome does not guarantee the accuracy, completeness, or continued availability of third-party listings, property information, professional profiles, quotes, or services. You should verify material information before making a purchase, rental, financing, or service decision.

To the extent permitted by applicable law, ZootPro, Inc. will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of CoverHome.

To the extent permitted by applicable law, ZootPro, Inc.’s total liability arising out of or relating to the Services will not exceed the greater of $100 or the amount you paid ZootPro, Inc. for the Services during the twelve months preceding the event giving rise to the claim.

These limitations do not exclude or limit liability for fraud, willful misconduct, gross negligence, or any liability or remedy that applicable law does not permit us to exclude or limit. Nothing in these Terms waives your nonwaivable consumer rights.

Any obligation of a business user to defend or indemnify ZootPro, Inc. is governed by the applicable professional, brokerage, or vendor agreement.

12. Termination

We may suspend or terminate your access for violation of these Terms, license lapse, failed license/brokerage verification, non-payment, or as otherwise permitted under your Order Form. You may terminate your account at any time; certain obligations (confidentiality, payment for services already rendered, IP terms) survive termination.

13. Changes to the Services and Terms

We may update these Terms from time to time; we will post the updated version with a new “Last Updated” date. Continued use of the Services after changes take effect constitutes acceptance. Material changes affecting professional subscribers will be communicated per the notice terms in your Order Form.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, except where applicable law requires otherwise. Consumers retain the protections of mandatory laws that apply where they reside.

Unless applicable law provides otherwise, disputes arising from these Terms or the Services will be heard in a state or federal court located in Delaware that has jurisdiction over the dispute. This provision does not prevent a consumer from bringing a claim in another court where applicable law gives the consumer that right.

You may contact CoverHome through the support contact identified in these Terms to seek an informal resolution. Doing so is optional and does not restrict your right to pursue a legal remedy or extend any filing deadline.

These Terms do not require mandatory arbitration or waive participation in a class action. Separate business agreements may contain additional dispute provisions applicable to professional fees, including Technology Success Fees.
